Please read these Terms of Use ("Agreement") carefully before using the Greebly platform. By accessing or using Greebly at www.greeb.ly, you agree to be bound by these terms and conditions.
User Agreement
Greebly Platform: Greebly is an online platform that connects customers ("Customers") with home chefs, vendors, and food providers ("Vendors") offering homemade meals and related products and services. Greebly enables Customers to browse menus, place orders, and arrange for the delivery of homemade meals.
Independent Vendors: Vendors on Greebly are independent individuals or businesses who represent and warrant that they have obtained all necessary licenses and permits, and comply with all applicable laws and regulations, to prepare and sell homemade meals from their homes. Vendors are solely responsible for the quality, safety, and legality of the food they offer. Greebly does not endorse or assume any responsibility for the actions, content, or services provided by Vendors.
Third-Party Content: Greebly may provide access to third-party services, websites, or content. Any interactions, transactions, or engagements between Customers and third-party services or content providers are solely between the Customer and the respective third party. Greebly is not responsible for any issues, damages, or losses arising from such interactions or engagements.
Account Registration
Account Creation: To use Greebly, you must create an account and provide accurate and complete information. By creating an account, you represent that you are of legal age in your jurisdiction or have the necessary authority to enter into this Agreement
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Greebly reserves the right to suspend or terminate your account if you violate these Terms of Use or engage in any fraudulent or illegal activities.
Functionality Cookies: TThese cookies allow us to remember choices you make when you use the website, such as remembering your login details or language preference. The purpose of these cookies is to provide you with a more personal experience and to avoid asking you to log in every time you visit our website.
Third-Party Cookies
In addition to our own cookies, we may also use various third-party cookies to report usage statistics of the Service and deliver advertisements on and through the Service.
Use of the Greebly Platform
Compliance: You agree to use Greebly for lawful purposes and in compliance with all applicable laws and regulations. You acknowledge that it is your responsibility to ensure compliance with any local health regulations or requirements when purchasing or consuming homemade meals from Vendors.
Privacy: You understand and agree that Greebly may collect and use certain information about you in accordance with our Privacy Policy.
Ordering and Preferences: You are responsible for providing accurate and up-to-date information about your orders, preferences, dietary requirements, and any allergies or restrictions. Greebly is not responsible for any issues arising from inaccurate or incomplete information provided by Customers.
Customer-Vendor Communication: Customers should directly contact Vendors regarding any issues, questions, or concerns related to food quality, service, or other matters. Greebly does not guarantee the accuracy or availability of information provided by Vendors. Greebly may, at its discretion, provide assistance in resolving disputes between Customers and Vendors, but it is not liable for any outcomes or resolutions.
Intellectual Property
Ownership: The Greebly platform and all associated content, including logos, trademarks, text, graphics, images, and software, are owned by Greebly and protected by intellectual property laws. 4.2 Limited License: You are granted a limited, non-exclusive, and non-transferable license to use Greebly solely for the purpose of ordering homemade meals and communicating with Vendors. You may not use, copy modify, or distribute any content from Greebly without prior written consent from Greebly.
Limitation of Liability and Disclaimer of Warranties
Use of the Platform: Greebly shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of its platform, including but not limited to issues related to food quality, safety, delivery, or any interactions between Customers and Vendors.
Third-Party Services: Greebly is not responsible for any issues, damages, or losses caused by third-party services, including payment processors, delivery providers, or other external services utilized by Vendors or Customers.
Vendor Representations: Vendors represent and warrant that they have obtained all necessary licenses and permits and comply with all applicable laws and regulations to prepare and sell homemade meals from their homes. Greebly does not independently verify Vendor representations and is not liable for any non-compliance or violations by Vendors.
Modification of Terms
Updates: Greebly reserves the right to modify or update these Terms of Use at any time. Changes will be effective upon posting on the Greebly platform. Greebly will make reasonable efforts to notify you of significant changes.
Continued Use: Your continued use of Greebly after the effective date of any modifications constitutes your acceptance of the modified Terms of Use.
Termination: Greebly reserves the right to suspend, terminate, or discontinue the platform or your access to it at any time without notice.
General
Entire Agreement: This Agreement constitutes the entire agreement between you and Greebly, superseding any prior agreements or understandings.
Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Notices: Greebly may provide notices to you through the platform or via email to the address associated with your account.
Waiver: The failure of Greebly to enforce any right or provision of this Agreement shall not be considered a waiver of such right or provision.
By using Greebly, you acknowledge and agree to these Terms of Use. If you do not agree with any provision of these terms, please refrain from using Greebly.
Limitation of Liabilities:
Greebly operates in Toronto and the Greater Toronto Area (GTA), and the following terms and conditions apply to our services: Except for the express warranties outlined herein, Greebly and its third-party providers (including courier services) explicitly disclaim all express or implied warranties regarding the services. This includes, but is not limited to, implied warranties of merchantability, fitness for a specific purpose, title, non-infringement, and quality. Greebly and its third-party providers make no representations or warranties regarding the reliability, availability, timeliness, suitability, accuracy, or completeness of the services or the outcomes you may achieve by using the service. Without limiting the foregoing, Greebly and its third-party providers do not guarantee that (a) the operation or use of the services will be timely, uninterrupted, or error-free, or (b) the quality of the meals and service will meet your requirements. You acknowledge that neither Greebly nor its third-party providers have control over the transfer of data through communication facilities, including the internet, and that the service may have limitations, delays, and other inherent problems. Greebly is not responsible for any delays, delivery failures, or damages arising from such issues. Additionally, Greebly does not guarantee that all security attacks will be detected, reported, or remedied, nor does it guarantee the absence of security breaches by third parties. Unless expressly stated otherwise by Greebly, the services are provided "as is" to users.
You explicitly understand and agree that under no circumstances will Greebly be liable, whether under contract, negligence, strict liability, or any other theory, for (a) any claim based on a third-party claim, indirect, exemplary, incidental, special, or consequential damages, (b) loss of use, inaccuracy, cost of acquiring substitute goods, services, or technology, loss of profits, data, or business interruption, or (c) any matter beyond Greebly's reasonable control, regardless of foreseeability, even if Greebly has been advised of the possibility of such loss or damage and even if a remedy set forth in these terms has failed its essential purpose.
You agree that your interactions with other users of the service are solely your responsibility, and Greebly will have no liability or responsibility in connection with such interactions. Greebly reserves the right, but is not obligated, to involve itself in disputes between you and other users of the service.
To the fullest extent permitted by applicable laws and regulations, Greebly's total liability to you or any third party in any circumstance shall not exceed the maximum amount permitted by law.
